1. Acceptance of Terms

By accessing or using the Well Kept application ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Well Kept is a home management platform designed to help households track inventory, manage shared expenses, and schedule maintenance. The Service includes features for:

Household Inventory: Tracking items, receipts, and warranties.
Expense Management: Calculating shared costs and facilitating settlement via third-party links.
Maintenance: Scheduling tasks and providing AI-generated recommendations.
Calendar Sync: Integrating with Google Calendar for reminders.

3. User Accounts

To use most features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information.
Maintain the security of your password and identification.
Accept all responsibility for any and all activities that occur under your account.
Notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to use the Service.

4. Financial Tools and Expense Splitting

Important Disclaimer: Well Kept acts solely as a calculator and record-keeping tool.

No Banking Services: We do not process payments, hold funds, or act as a bank.
Calculations: While we strive for accuracy in our "smart settlement" algorithms, you are solely responsible for verifying the accuracy of all expense splits and debts before making payments.
Venmo Integration: Our Service generates "deep links" to open the Venmo application with pre-filled amounts. We are not affiliated with Venmo or PayPal. Once you leave our application to complete a payment, you are subject to Venmo's terms. We are not liable for payments sent to the wrong person, payments sent in the wrong amount, or transaction failures.

5. Maintenance Information and AI Recommendations

The Service uses Artificial Intelligence (Google Gemini) to provide maintenance tips and recommendations (e.g., "Check your HVAC filter").

Informational Purposes Only: These recommendations are for general informational purposes only and do not constitute professional home inspection, construction, or engineering advice.
No Warranty on Advice: We do not guarantee the accuracy, completeness, or safety of any maintenance advice provided by the AI.
Professional Consultation: You should always consult with qualified professionals (plumbers, electricians, contractors) for specific maintenance issues. We are not liable for any damage to your property or injury resulting from actions taken based on information provided by the Service.

6. User Content and Data

Ownership: You retain ownership of all data, receipts, images, and information ("User Content") you upload to the Service.
License: By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and display that content solely for the purpose of providing the Service to you and your household members (e.g., showing a receipt to a roommate).

7. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to:

A. General Misuse

Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
Violate or encourage others to violate any right of a third party, including by infringing or misappropriating any third-party intellectual property right.
Interfere with security-related features of the Service, including by disabling or circumventing features that prevent or limit use or copying of any content.
Reverse engineer or attempt to extract the source code of the software, except to the extent that such restriction is expressly prohibited by applicable law.

B. Harassment and Safety (Household & Domestic)

Use the Service to stalk, harass, bully, or threaten any household member, roommate, or third party.
Use the calendar or location features to track the physical location of another individual without their explicit consent.
Upload content that is defamatory, obscene, pornographic, offensive, or promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.

C. Financial Misuse

Use the "Smart Settlement" or expense tracking features to facilitate money laundering, fraud, or the sale of illegal goods/services.
Intentionally input false financial data to deceive household members or manipulate expense splits.
Use the Service for commercial business accounting (the Service is intended solely for personal, household use).

D. AI and Automated Interactions

Attempt to "jailbreak," manipulate, or use "prompt injection" attacks against the Google Gemini AI integration to generate harmful, illegal, or unintended outputs.
Rely on the AI maintenance recommendations for safety-critical situations (e.g., gas leaks, structural damage) where professional human intervention is required.
Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.

E. Network and Infrastructure

Upload any viruses, worms, or malicious code.
Attempt to gain unauthorized access to the Service, user accounts, computer systems, or networks connected to the Service.
Impose an unreasonable or disproportionately large load on our infrastructure (e.g., Denial of Service attacks).

We reserve the right to investigate and terminate your account if you violate any of the above prohibitions.

8. Subscriptions and Billing (Pro Features)

Fees: Certain features (e.g., AI recommendations, Data Export) may require a paid subscription ("Pro"). You agree to pay all fees associated with your chosen subscription plan.
Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
Cancellation: You may cancel your subscription at any time through your account settings. You will continue to have access to Pro features until the end of your current billing cycle.
Refunds: Payments are non-refundable, except as required by applicable law.

9. Third-Party Services

Our Service integrates with third-party applications, including Google Calendar and Venmo.

We do not control these services.
We are not responsible for the availability, accuracy, or content of these external services.
Your use of these third-party services is subject to their own terms and privacy policies.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Well Kept shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.

In no event shall our aggregate liability exceed the greater of one hundred U.S. dollars ($100) or the amount you paid us, if any, in the past six months.

12. Indemnification

You agree to defend, indemnify, and hold harmless Well Kept and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

15. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

A. Agreement to Arbitrate

You and Well Kept agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

B. Class Action Waiver

You and Well Kept agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and Well Kept agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

C. Arbitration Rules and Forum

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules (the "AAA Rules") then in effect. The Federal Arbitration Act will govern the interpretation and enforcement of this section. The arbitration will be conducted in Nashua, New Hampshire, unless you and Well Kept agree otherwise.

D. Arbitrator Decision

The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

E. Opt-Out

You have the right to opt-out of the provisions of this specific Arbitration Section by sending written notice of your decision to opt-out to the email address listed in the Contact Us section within thirty (30) days of your first acceptance of these Terms. If you opt-out of this section, all other parts of the Terms will continue to apply to you.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New Hampshire, United States, without regard to its conflict of law provisions, except as provided for in the Dispute Resolution section above where the Federal Arbitration Act applies.
